1. Acceptance of Terms

Welcome to HeyLabs AI. These Terms and Conditions ("Terms") govern your access to and use of the HeyLabs AI platform, including all products and services offered through HeyLabsAI.com, HeyKids.ai, and HeySchool.ai (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are a parent or legal guardian agreeing to these Terms on behalf of a child under the age of 13, you accept these Terms on their behalf and are responsible for their use of the Service.

2. Description of Service

HeyLabs AI provides an artificial intelligence-powered educational platform designed for K–12 learners, parents, and teachers. The Service includes:

• HeyKids: A safe, age-aware, and curiosity-driven AI learning coach that adapts to each child's learning journey.
• HeySchool: An AI-powered teaching platform designed for real classrooms, featuring automated lesson activities, smart grading, and real-time classroom insights.

The Service is intended for educational purposes only. HeyLabs AI reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility and Age Requirements

General Eligibility

The Service is available to individuals who can form legally binding contracts under applicable law, or to minors who have obtained consent from a parent or legal guardian.

Children Under 13

In compliance with the Children's Online Privacy Protection Act (COPPA):

• Children under the age of 13 may only use the Service with verifiable parental consent.
• During registration, we collect the child's birth month and year to determine age.
• If a child is identified as under 13, we request a parent's or legal guardian's email address and send a consent request.
• If parental consent is not received within 7 days, the account will be deactivated and all associated data will be deleted.

Users Aged 13 to 17

Users between the ages of 13 and 17 may create an account and use the Service. By using the Service, they represent that they have reviewed these Terms and that their parent or legal guardian has consented to their use.

EU Users

For users located in the European Union, children under the age of 16 require consent from a parent or legal guardian to use the Service, in accordance with the General Data Protection Regulation (GDPR).

4. Account Registration and Security

Account Types

• Student accounts: Subject to age screening and, where applicable, parental consent requirements.
• Parent accounts: Used to manage linked student accounts, review progress, and control consent and data sharing.
• Teacher accounts: Used for classroom management, progress monitoring, and educational tools. Access to student data requires parental approval.

Account Security

You are solely responsible for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account or any other breach of security.

5. Acceptable Use

You agree to use the Service only for lawful, educational purposes and in accordance with these Terms. You agree not to:

7. AI-Generated Content

The Service uses artificial intelligence to generate educational content, responses, and recommendations. You acknowledge and agree that:

HeyLabs AI does not warrant that the Service will meet your specific requirements or expectations. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEYLABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• Any loss of data, revenue, profits, or business opportunities.
• Any damages resulting from AI-generated content, including inaccuracies or errors.
• Any unauthorised access to or alteration of your data or transmissions.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS (US $100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless HeyLabs, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

13. Termination

By You

You may stop using the Service and delete your account at any time. Parents may also request the deletion of their child's account and all associated data by contacting us at [email protected] or through the parent dashboard.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice if:

• You violate these Terms or any applicable laws.
• Your conduct may harm other users, third parties, or HeyLabs AI.
• Continued use is not in the best interest of the safety of children on the platform.
• We are required to do so by law.

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your personal data in accordance with our Privacy Policy, except where retention is required by law. Sections of these Terms that by their nature should survive termination will remain in effect.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes:

Dispute Resolution

If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property, data security, or unauthorised access.
